REFUND & CANCELLATION POLICY

1. Introduction

This Refund & Cancellation Policy governs payments made to KayJay Global Solutions Pvt. Ltd. (“Company”, “we”, “us”, “our”) for software development, consulting, SaaS products, AI services, digital transformation services, subscriptions, support, and related offerings.

By engaging our services or making any payment, you agree to this Policy.

2. Nature of Services

The Company primarily provides:

  • Custom software development
  • SaaS platforms and subscriptions
  • AI and automation solutions
  • ERP, HRMS, RMS, and enterprise platforms
  • Consulting and discovery workshops
  • UI/UX design and digital transformation services
  • Technical support and maintenance services

As these services involve allocation of technical resources, planning, architecture, consulting, infrastructure usage, and intellectual effort, payments are generally non-refundable.

3. Non-Refundable Payments

Unless explicitly agreed otherwise in writing by authorized representatives of the Company, the following shall be strictly non-refundable:

  • Advance payments
  • Token amounts
  • Discovery workshop fees
  • Consultation charges
  • Resource booking fees
  • SaaS subscription fees
  • Development milestones
  • Design and architecture charges
  • AI model training/configuration costs
  • Infrastructure and cloud usage charges
  • Third-party license/API/service costs
  • Emergency or priority support fees

4. Cancellation Policy

4.1 Client-Initiated Cancellation

If a client chooses to discontinue a project or service after work has commenced:

  • Payments already made shall remain non-refundable
  • Work completed until the cancellation date shall be billable
  • Any pending dues for completed work shall remain payable
  • Access to deliverables, repositories, servers, credentials, environments, or licenses may be suspended until outstanding payments are cleared

4.2 Company-Initiated Cancellation

The Company reserves the right to suspend or terminate services in cases including but not limited to:

  • Non-payment or delayed payments
  • Abuse, misconduct, or unlawful activity
  • Repeated scope changes without approval
  • Security or compliance risks
  • Violation of contractual terms

In such cases, refunds shall not be applicable.

5. Client Dependencies & Delays

Project timelines and delivery commitments are dependent upon timely cooperation from the client, including but not limited to:

  • Approvals
  • Content sharing
  • API access
  • Credentials
  • Infrastructure readiness
  • Feedback and testing

Delays caused by client-side dependencies shall not qualify for refunds, penalties, or liability claims against the Company.

6. Change Requests & Scope Modifications

Any work requested outside the approved scope, proposal, BRD, SOW, or agreement may be treated as a Change Request (CR) and may incur additional commercial and timeline impact.

Refunds shall not apply due to disagreements arising from revised or expanded scope expectations.

7. SaaS Subscription Services

For SaaS products and subscription-based services:

  • Subscription fees are billed in advance
  • Active subscription periods are non-refundable
  • Partial usage periods shall not qualify for pro-rata refunds
  • Failure to use the platform does not constitute eligibility for refund

The Company may suspend accounts for overdue payments or policy violations.

8. Third-Party Services & Integrations

The Company may integrate with third-party tools, APIs, payment gateways, hosting providers, AI providers, SMS/email providers, biometric systems, or cloud infrastructure.

We shall not be liable for:

  • Downtime
  • API failures
  • Service disruptions
  • Policy changes
  • Third-party pricing changes
  • Security incidents originating from third-party providers

Refunds shall not apply for issues caused by third-party dependencies outside our reasonable control.

9. Limitation of Liability

Under no circumstances shall the Company be liable for:

  • Indirect or consequential losses
  • Business interruption
  • Data loss
  • Loss of revenue or profits
  • Reputation damage
  • AI-generated inaccuracies or automated recommendations

Maximum liability, if any, shall not exceed the fees paid to the Company during the preceding three (3) months for the specific affected service.

10. Exceptions

Any exception to this Policy shall be valid only if explicitly approved in writing by authorized management of the Company.

Verbal commitments or assumptions shall not be considered binding.

11. Governing Law & Jurisdiction

This Policy shall be governed by the laws of India.

Courts at Rajasthan, India shall have exclusive jurisdiction.
